Hospitality Finance Tools: Single-Club License

This License is between you, the club that bought the license ("Licensee" or "you"), and Hospitality Finance Tools, the assumed name of a Texas sole proprietorship ("Hospitality Finance Tools", "we"). It applies to the Club Budget Model, the Board Finance Presentation Template, member letter templates, guides, updates and any other files you get from us (together, the "Product"). By downloading or using the Product you accept this License and our Terms of Use.

1. Who the license is for

1.1 One club. Each purchase licenses one Club: one private club organization (one membership roll, one set of financial statements), including all of its physical locations and facilities operated under that organization. 1.2 Authorized Users. Within that Club, the Product may be used by an unlimited number of the Club's employees, officers, directors/trustees, finance and other committee members, and its outside auditors, accountants and attorneys when working for that Club ("Authorized Users"). 1.3 Who the buyer is. The license belongs to the Club named at checkout or in the billing details (or, if none, the Club the purchaser works for). If an individual bought the Product personally for a club, the license still belongs to that club. A license is not personal to an employee and does not travel with them to a new club.

2. What you may do

• Install and use the Product on any number of devices used by Authorized Users.
• Enter your Club's data, change inputs, formats and formulas, and add tabs for your Club's own use.
• Make backup and archive copies.
• Share outputs: print or distribute reports, Board Summary pages, charts, slides and member letters you create with the Product to your Club's board, committees, members, lenders and auditors. Outputs containing your Club's numbers belong to you; slide and letter templates may be rebranded with your Club's name and logo.
• Keep using the versions you received forever, even after the included update year or a renewal ends.

3. What you may not do

• Share, sell, resell, sublicense, rent, lend, give away or otherwise redistribute the Product or any part of it (including a blank or modified copy) to anyone outside your Club, including other clubs, management companies, associations, chapters or online communities.
• Post the Product or its files on any public or shared site, marketplace, forum, file-sharing service or AI-training dataset.
• Use the Product, or a derivative of it, to create a competing template, model, course or product, or remove or alter copyright, version or attribution notices in the files.
• Use one license for more than one Club, or for a club group, multi-club management company or consultant's client base (see Section 4).
• Represent the Product as officially endorsed by CMAA, HFTP or any club software vendor.

4. Consultants, management companies and multi-club groups

4.1 A consultant, CPA firm, fractional CFO or management company may use a Club's license only for work for that Club, on that Club's files. The license stays with the Club. 4.2 To use the Product for more than one client or managed club, buy one license per Club. A consultant may not keep a copy to reuse with other clients. 4.3 Club groups under common ownership need one license per Club as defined in 1.1, unless we agree otherwise in writing.

5. Updates

5.1 First year included. Each paid Model license (Standard or Pro) includes 12 months of updates from the purchase date: fixes, improvements, any new edition released in that period, new content as it ships, for the tier purchased. 5.2 Renewal for license holders only. After the included period, the Club may renew updates through the Annual Updates Renewal subscription. Renewal is available only to a Club that holds a paid Model license, verified by the original order number. A renewal bought by anyone without a qualifying license is not a license, grants no rights to the Product, and will be cancelled and refunded, and any files received must be deleted. 5.3 A renewal covers the same Club and tier as the underlying license (Pro license holders receive updated Pro template files). 5.4 Content delivered during the included year or an active renewal remains licensed under this License after the period ends or the renewal is cancelled. 5.5 Updates are released at our discretion; roadmap items are not commitments.

6. Ownership

We (and our licensors) own all rights in the Product, including its structure, formulas, layouts, text and design. You get a license, not ownership. All rights not expressly granted are reserved. "Microsoft Excel" and "PowerPoint" are trademarks of Microsoft; "USFRC" refers to the Uniform System of Financial Reporting for Clubs published by CMAA/HFTP, which are not affiliated with Hospitality Finance Tools.

7. Term and termination

7.1 This License is perpetual unless terminated. 7.2 It ends automatically if you breach Section 3 or 4 and do not cure it within 15 days of notice, or if your purchase is refunded or charged back. When it ends, you must stop using and delete the Product (you may keep outputs already distributed).

8. No advice; no warranty; limits

The Product is a planning tool and is provided under the Disclaimer and the warranty disclaimer and limitation of liability in our Terms of Use, which are part of this License.
