Hospitality Finance Tools: Terms of Use and Sale

These Terms govern your use of the Hospitality Finance Tools website at hospitalityfinancetools.com (the "Site") and your purchase and use of our digital products (the "Products"). "Hospitality Finance Tools", "we" and "us" means Hospitality Finance Tools, the assumed name of a Texas sole proprietorship. We sell finance digital products for clubs, resorts and hotels. "You" means the person using the Site and, for purchases, the club on whose behalf the purchase is made. By using the Site or buying a Product, you agree to these Terms, the Single-Club License and the Disclaimer, which are incorporated here. If you buy for a club, you confirm you are authorized to bind it.

1. Products

1.1 Products are downloadable files (Excel workbooks, slide and document templates, PDFs) with 12 months of updates included, and an optional annual updates renewal subscription for existing license holders. Descriptions, screenshots and sample data on the Site are illustrative. Sample data is fictional. 1.2 We may improve, correct or change Products and their content. Roadmap items ("improvements released during your 12 months", "on the roadmap") are plans, not commitments or delivery dates. 1.3 System requirements: Microsoft Excel for Microsoft 365 or Excel 2019 or later (Windows or Mac). LibreOffice Calc can open the model; some formatting may differ. Slide templates need PowerPoint or a compatible app. Check requirements before you buy.

2. Ordering, payment and our reseller

2.1 Merchant of record. Orders are processed by Lemon Squeezy, which acts as the merchant of record and reseller for our Products. Lemon Squeezy handles checkout, payment, receipts, invoices, and calculation, collection and remittance of sales tax and VAT. Your payment relationship is with Lemon Squeezy, and Lemon Squeezy's buyer terms and privacy policy also apply to your purchase. Card statements show a charge from "LEMSQZY*". 2.2 Prices are in US dollars and exclude applicable taxes, which are shown at checkout. 2.3 Delivery is electronic. Download links appear on the confirmation page and in your receipt email, and remain available in your Lemon Squeezy order page. You are responsible for downloading and keeping copies.

3. Updates: first year included, renewal for license holders

3.1 Included year. Every paid Model purchase includes 12 months of updates from the purchase date, as described in the License (Section 5). No subscription or extra payment is needed for the first year. New editions released in that period are delivered to you by email (for example, a single-use download code). 3.2 Renewal. After the included year, the Annual Updates Renewal is offered only to existing license holders. We confirm your original order number before sending a personal renewal link. Renewal links are personal and may not be shared. 3.3 Renewal renews automatically every 12 months at the price shown when you subscribed, charged to your saved payment method, until cancelled. We may change the price for new renewals; if we change an existing renewal's price, we will notify you at least 30 days before the renewal it affects, and you may cancel before then. 3.4 Eligibility. A renewal purchased without a qualifying paid license (including one bought through a shared link) creates no license or rights. We will cancel it, refund it, and end access to its files. 3.5 Cancel anytime through the customer portal at hospitalityfinancetools.lemonsqueezy.com/billing (or the link in your receipt) or by emailing [email protected]. Cancellation stops future renewals; the renewal stays active until the end of the paid year. You keep files already delivered. 3.6 If a renewal payment fails, Lemon Squeezy may retry it. If it still fails, the renewal may end.

4. License

Products are licensed, not sold, under the Single-Club License. Using a Product outside that License is a breach of these Terms.

5. Acceptable use of the Site

Don't misuse the Site: no attempts to gain unauthorized access, no scraping or automated downloading of Product files, no interfering with the Site, and no unlawful use.

6. Support

Email [email protected]. We aim to reply within 1–2 business days. Support covers download help, license questions, and questions about how the Product works and suspected errors. It does not cover building your club's budget for you, accounting, tax or legal advice, or customizations.

7. Refunds (14-day policy)

7.1 One-time Products: 14-day refund, no questions asked. Email [email protected] within 14 days of purchase with your order number and we will refund you in full, for any reason. 7.2 Duplicate or mistaken purchases (e.g., bought twice, bought Standard and Pro) reported within 14 days: we will refund the extra purchase or credit the difference toward the right tier. 7.3 After 14 days. One-time purchases are not refundable after 14 days, except where required by law. 7.4 Annual Updates Renewal. You may request a full refund of a renewal charge within 14 days of that charge. After 14 days, charges are not refundable and no prorated refunds are given; cancelling stops the next renewal. A renewal bought without a qualifying license is refunded and cancelled under Section 3.4. 7.5 Refunds are issued through Lemon Squeezy to the original payment method and can take up to 10 days to appear. Lemon Squeezy, as merchant of record, may also issue refunds at its discretion. A refunded purchase ends the license for that purchase, and you must delete the files. 7.6 Please contact us before disputing a charge with your card issuer. We will try to resolve it quickly.

8. No advice; your responsibility

The Products are planning tools. They are not accounting, tax, legal, audit or investment advice. See the Disclaimer. You are solely responsible for the data you enter, how you configure the Products, checking the results, and every decision your club makes using them.

9. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN SECTION 7.1, THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE PRODUCTS ARE ERROR-FREE, THAT THEIR CALCULATIONS FIT YOUR CLUB'S POLICIES OR ACCOUNTING TREATMENT, OR THAT THEY WILL WORK WITH EVERY SOFTWARE VERSION.

10. Limitation of liability

10.1 TO THE FULLEST EXTENT PERMITTED BY LAW, HOSPITALITY FINANCE TOOLS AND ITS OWNER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, BUDGET SHORTFALLS, DUES OR ASSESSMENT DECISIONS, FINANCING DECISIONS, LOSS OF DATA, OR COST OF SUBSTITUTE PRODUCTS, ARISING FROM OR RELATED TO THE SITE OR PRODUCTS, EVEN IF ADVISED OF THEIR POSSIBILITY. 10.2 OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE OR PRODUCTS IS LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM. 10.3 These limits are an essential part of the bargain and apply to all theories of liability, to the extent the law allows.

11. Indemnity

You (and the club you buy for) will defend and indemnify Hospitality Finance Tools against third-party claims arising from your use of the Products, your data, your decisions, or your breach of these Terms or the License.

12. Intellectual property and feedback

We own the Site and Products. If you send suggestions, we may use them without obligation to you.

13. Privacy

We receive buyer name, email, club/billing details and order data from Lemon Squeezy to deliver Products and provide support. We do not sell personal information. See our Privacy Policy (privacy.html) for what we collect, how we use it, and your rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive venue for any dispute is the state or federal courts located in the State of Texas.

15. Changes

We may update these Terms by posting a new version with a new effective date. Changes apply to purchases after the effective date; for subscriptions, they apply from the next renewal.

16. General

If any provision is unenforceable, the rest remains in effect. These Terms, the License, the Disclaimer, the Privacy Policy and the Lemon Squeezy buyer terms are the entire agreement about the Products. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor (including a future LLC that takes over the business).
